• Waitlist Access: Early access registration for upcoming features

Limitation:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVA AI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
• Loss of profits, revenue, or data
• Business interruption
• Cost of substitute services
• Any damages arising from your use of the Services
Cap on Liability:
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:
• The amounts you paid to us in the 12 months preceding the claim, or
• One hundred U.S. dollars ($100)
Exceptions:
These limitations do not apply to:
• Liability that cannot be excluded by law
• Death or personal injury caused by our negligence

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

Termination by You:

Termination by Us:
We may terminate or suspend your access to the Services immediately, without prior notice, for:

• Fraudulent or illegal activity
• Non-payment of fees

Effects of Termination:
Upon termination:
• Your right to use the Services will immediately cease
• We may delete your account and data (subject to legal retention requirements)
• Provisions that by their nature should survive will remain in effect
• You remain liable for any fees incurred before termination
Data Export:
We recommend exporting your data before termination. We may provide a reasonable period to export data upon request.

Governing Law & Disputes
Governing Law:
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Dispute Resolution:
Any disputes arising from these Terms or the Services shall be resolved as follows:
1. Informal Resolution:
Before filing any claim, you agree to contact us at info@novaaiops.com and attempt to resolve the dispute informally for at least 30 days.
2. Arbitration:
If informal resolution fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.
3. Class Action Waiver:
YOU AGREE THAT ANY CLAIMS WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
Exceptions:
Either party may seek injunctive relief in any court of competent jurisdiction for intellectual property infringement or unauthorized access.

• For material changes, we will provide notice through the Services or via email

No Third-Party Beneficiaries:
These Terms do not create any third-party beneficiary rights.
